The 2022 Annual General Meeting of Shareholders (“AGM”) of Koninklijke Ahold Delhaize N.V. (“Ahold Delhaize” or the “Company”) was held on April 13, 2022 at 2:00 PM CET. The AGM will be held in a hybrid form. This means shareholders may attend the AGM in-person or virtually. The AGM will be held at Taets Art and Event Park at Hemkade 16 (Hembrugterrein), 1506 PR Zaandam, the Netherlands. Shareholders attending the AGM virtually may vote and ask questions real-time.

On March 16, 2022, at close of the markets, Koninklijke Ahold Delhaize N.V. had 1,003,385,715 ordinary shares outstanding. The total number of voting rights is 1,003,385,715.

Pursuant to Dutch law, the persons who are entitled to vote and/or (virtually) attend the AGM, are those persons who on March 16, 2022, after processing all the settlements on that date (the “Record Date”) are registered as such in a (sub)register designated by the Management Board. The (sub)registers for bearer shares are the administrations held at the Record Date, ultimately at 6:00 PM CET, by the banks and brokers which are participating institutions (aangesloten instellingen) according to the Dutch Securities Depository Act (Wet Giraal Effectenverkeer) of the Nederlands Centraal Instituut voor Giraal Effectenverkeer B.V. For holders of registered shares, the shareholders registers of the Company (or parts thereof) have been designated as (sub)registers.
Shareholders are entitled to vote up to the total number of shares that they held at the close of trading at the Record Date, provided they have registered their shares timely.
Upon registration via ABN AMRO Bank N.V. ("ABN AMRO") (via www.abnamro.com/evoting) shareholders will be requested to choose whether they attend the meeting in-person or virtually. Alternatively, shareholders may also grant a proxy to vote as referred to below.
A shareholder who wishes to attend the meeting in-person or virtually must register with ABN AMRO (via www.abnamro.com/evoting) as of the Record Date and no later than 6:00 PM CET on April 6, 2022. A confirmation by the intermediary in which administration the holder is registered for the deposit shares must be submitted to ABN AMRO, stating that such shares were registered in his/her name at the Record Date. With this confirmation, intermediaries are furthermore requested to include the full address details of the relevant shareholder in order to be able to verify the shareholding on the Record Date in an efficient manner. If a shareholder wishes to attend the meeting virtually, his/her valid email address, securities account and mobile phone number are required for authentication purposes in order to provide virtual access. The receipt (of registration) to be supplied by ABN AMRO will serve as an admission ticket to the meeting for those attending the meeting in-person, or will contain a personal link for those attending the meeting virtually.
Notwithstanding the obligation to register for the meeting, the right to attend in-person and to vote at the meeting may be exercised by a holder of a written proxy (for which purpose forms can be obtained free of charge under 'meeting documents'). The written proxy must be received by the Company Secretary by 6:00 PM CET on April 6, 2022 via email company.secretary@aholddelhaize.com.
Shareholders may electronically give their voting instruction through www.abnamro.com/evoting.
You may also grant an electronic proxy with a voting instruction to the Company Secretary or Chief Legal Officer of Ahold Delhaize or to IQ EQ Financial Services B.V. or to any other third party. You may submit this proxy with a voting instruction before 6:00 PM CET on April 6, 2022. If desired, you can amend a previously submitted voting instruction ultimately before 6:00 PM CET on April 6, 2022.
Shareholders may also attend and vote at the meeting on all shareholders’ resolutions via the internet, therefore online and remote with their own smartphone, tablet or personal computer, unless the shareholder’s intermediary does not accommodate online attendance or online voting.
Upon registration to attend virtually, a shareholder will receive an email with a link via www.abnamro.com/evoting. After successful login and confirmation of the login via two factor authentication (by SMS verification), the shareholder is automatically logged into the meeting. Further instructions will be provided via www.abnamro.com/evoting and/or the online voting platform.
You will be able to login for virtual admission to the meeting on April 13, 2022, via www.abnamro.com/evoting from 1:00 PM CET until the commencement of the meeting at 2:00 PM CET. You must log in and complete the admission procedure for the meeting before 2:00 PM CET. Shareholders who log in afterwards will only have access to the webcast to follow the meeting, but will not be able to vote or raise questions.
Virtual participation entails risks. If you wish to avoid such risks, you should choose to cast your vote by proxy. A further process for virtual participation may be set at a later stage.
Registration for admission in-person to the meeting will take place from 1:00 PM CET until the commencement of the meeting at 2:00 PM CET. After this time registration is no longer possible. Persons entitled to attend the meeting in-person may be asked for identification prior to being admitted by means of a valid identity document, such as a passport or driver’s license.
Holders of registered shares who wish to participate, and vote at the meeting can follow the instructions in the manner set forth in the letters sent to them.
Any shareholder who registered for the meeting may pose questions during the meeting. A shareholder who attends the meeting in-person can do so during the meeting. A shareholder who attends the meeting virtually must submit a request to pose live questions to the Company Secretary until 6:00 PM CET on April 6, 2022, via email company.secretary@aholddelhaize.com. Shareholders may also pose questions until 6:00 PM CET on April 6, 2022, via email company.secretary@aholddelhaize.com. Timely received questions will be answered at the latest during the meeting and possibly thematic.
The Chair may at his sole discretion amend this procedure on behalf of an orderly meeting.

In the event, prior to the AGM, stricter Covid-19 measures will apply, Ahold Delhaize may opt to organize a fully virtual event, provided that the Temporary Act Covid-19 Justice and Safety is in force. In the absence of such legislation, Ahold Delhaize at its reasonable discretion, may take additional safety measures to limit the spread of the Covid-19 virus, including the limitation of the number of participants being allowed to attend the AGM in-person at Taets Art and Event Park. In such an event, Ahold Delhaize will use reasonable endeavours to timely inform the shareholders of the updated meeting arrangements.
If you are a registered holder of American Depositary Receipts (ADRs), you may give your voting instruction through JP Morgan Chase Bank N.A., the U.S. depositary. You will receive information, including a voting instruction card. Both registered and beneficial holders can vote on their shares, provided such holders have returned their completed proxy form prior to 12:00 PM CET on April 5, 2022.
